Patient Acquisition Pilot Terms

This addendum supplements the StaffDesk Terms of Service.

1. Services

StaffDesk Inc. (“StaffDesk”) will provide for HarleyMeds (“Client”): build and configuration of an AI conversation playbook from Client-approved facts; connection of Client’s Instagram account to StaffDesk’s response system; creation and management of Meta advertising campaigns; lead qualification and routing; and a reporting dashboard. Term: 30 days from the kickoff call.

2. Fees

$2,500 one time for the 30-day pilot. Advertising spend is separate, is set by Client, and is paid by Client directly to Meta. StaffDesk never holds or marks up ad spend. Continuation after the pilot is $4,000 per month, month to month, cancel anytime with written notice.

3. Performance guarantee

StaffDesk and Client will jointly set a booked-consult target at kickoff. If the target is not met during the pilot with Client funding the agreed minimum ad spend, Client’s first post-pilot month is billed at $2,000 instead of $4,000. No fees are ever charged per patient, per lead, or as a share of Client revenue.

4. Client materials and access

Client grants partner access to its Meta ad account and Instagram account for the term. All accounts, pages, creative, patient relationships, and data remain Client property. Client may revoke access at any time, which ends the services.

5. No medical services

StaffDesk provides marketing and software services only. The system does not provide medical advice, diagnosis, or treatment; conversations raising medical questions are escalated to Client’s designated staff. Client is solely responsible for its clinical operations, licensure, and regulatory compliance, and approves all playbook content before it goes live.

6. Compliance

Client represents it holds any certifications required to advertise its services (including LegitScript where applicable). Each party complies with applicable law. Nothing in this agreement is a payment for patient referrals.

7. Confidentiality and data

Each party keeps the other’s non-public information confidential. StaffDesk accesses the minimum data needed to provide the services and does not sell Client data.

8. Liability

StaffDesk’s total liability is capped at fees paid under this addendum. Neither party is liable for indirect or consequential damages. Advertising outcomes depend on factors outside StaffDesk’s control except as stated in Section 3.
